Assisted a public corporation prepare its 1996 through 2000 financial statements (including quarterly statements) for inclusion in a $500,000 private placement of its common stock.  Also, prepared its 1996 through 2000 consolidated federal and multi-state corporate income tax returns

Contract CFO

Assumed the role of acting CFO of a start-up internet consulting company.  The company provides marketing, promotion and consulting services in the internet environment to medical product manufacturers.  Assisted the company develop its initial five-year financial forecast for inclusion in a $3,000,000 private placement of common stock, create the corporate financial reporting system, and complete the acquisition of an existing California corporation with preferred stock valued at $1,700,000, as a wholly-owned subsidiary of the company.

Contract CFO/Controller

Assumed the role of acting CFO/Controller for a start-up internet communications company.  Prepared a two-year financial forecast for inclusion in a private placement of its common stock valued at $500,000.  Additionally, selected and implemented a new accounting and general ledger reporting package for the company, as well as reviewing and revising its internal system of financial accounting controls.

Forensic Accounting

Engaged in a forensic accounting role with a start-up e-commerce business.  The business required a two-year financial audit for inclusion in a private placement offering of its common stock to be sold in anticipation of a corporate merger with a publicly held company upon the successful completion of the offering.  The Company utilized seven unqualified accountants in the preceding one and one-half year period and the corporate books and records, including its computerized records were in a state of disaster.

Fraud Investigation

Assisted a large local CPA firm with an investigation of certain irregular financial activity and suspected fraudulent transactions in a medical clinic by an employee responsible for the record-keeping function.  The clinic prevailed in an out-of-court settlement.

Receivership

Named as the U.S. district court-appointed receiver of a local S Corporation, responsible for current day-to-day operations while performing a three-year fraud investigation involving its majority shareholder.  This investigation was completed with an out-of court settlement.
